These Terms of Service (“Terms”) govern your access to and use of MoodMetrics AI’s services, including our websites, software applications, artificial intelligence systems, predictive models, and analytics tools (collectively, the “Services”).

By accessing or using the Services, or by confirming your acceptance of these Terms, you enter into a legally binding agreement with MoodMetrics AI.

Our Privacy Policy describes how we collect, use, and process Personal Information. While the Privacy Policy does not form part of these Terms, it is incorporated by reference and should be read carefully.

You must be at least 18 years old, or the minimum legal age in your jurisdiction, to use the Services.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” refers to the organization.

3. Additional Service-Specific Terms

Certain Services or features may be subject to additional terms, usage policies, or service descriptions. Those additional terms form part of these Terms.

4. Nature Of The Services And Limitations

Advisory Use Only

All insights, analytics, and outputs generated by the Services are provided for informational and analytical purposes only. They do not constitute financial, investment, legal, medical, or professional advice.

No Guaranteed Outcomes

MoodMetrics AI does not guarantee the accuracy, completeness, or reliability of any insight or output. Any decisions you make based on the Services are made at your own risk. Human Judgment and Automated Processing

The Services are designed to support, not replace, human judgment and professional expertise. MoodMetrics AI does not engage in solely automated decision-making that produces legal or similarly significant effects concerning individuals within the meaning of Article 22 of the GDPR or equivalent laws.

5. Account Registration And Security

You must provide accurate and complete information when registering for an account.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity conducted through your account
  • Promptly notifying us of unauthorized access

We may suspend or terminate accounts that pose legal, security, or operational risk.

6. User Content

Definitions

  • “Input” means any data, video, audio, text, or other content you submit to the Services.
  • “Output” means any analysis, insight, or result generated by the Services based on Input.
  • “User Content” includes both Input and Output.

Ownership

As between you and MoodMetrics AI:

  • You retain ownership of Input
  • You own Output

License to MoodMetrics AI

You grant MoodMetrics AI a limited, non-exclusive, worldwide license to process, analyze, store, and display User Content solely to:

  • Provide and operate the Services
  • Maintain security and prevent misuse
  • Comply with legal obligations

Consent and Lawful Basis

You represent and warrant that:

  • You have all necessary rights, permissions, and lawful bases to submit User Content
  • Any individuals appearing in User Content have provided valid consent where required
  • Your use complies with applicable privacy, biometric, and data protection laws

MoodMetrics AI does not verify consent on your behalf.

7. Biometric And Inferential Analysis

Certain Services analyze facial expressions, speech patterns, or audio characteristics to generate probabilistic, inferential insights.

The Services:

  • Do not perform identity verification unless explicitly stated
  • Do not guarantee factual accuracy
  • Are not intended for sole decision-making in high-risk contexts

You are responsible for ensuring lawful use of such analyses in your jurisdiction.

8. Prohibited Uses

You may not use the Services to:

  • Upload unlawfully obtained content
  • Analyze individuals without required permissions
  • Upload content involving minors without proper authorization
  • Conduct illegal surveillance, discrimination, or profiling
  • Reverse engineer, copy, or extract models or methodologies
  • Interfere with or disrupt the Services
  • Violate applicable laws or regulations

We may suspend or terminate access for violations.

9. Sharing And Publication Restrictions

Internal Use Only

Unless expressly authorized in writing:

  • Output may only be shared internally within your organization
  • Public disclosure, publication, or redistribution is prohibited

No External Publication

You may not publish reports, insights, or analytics in public forums, marketing materials, or social media without prior written consent from MoodMetrics AI.

No Model Disclosure

You may not disclose, extract, or attempt to reverse engineer underlying algorithms, models, or methodologies.

10. Enterprise And Commercial Use

Enterprise or API services may be governed by separate written agreements, including data processing addenda.

Where such agreements exist:

  • MoodMetrics AI acts as a data processor
  • Customer Content is processed solely under contract
  • Customer Content is not used for model training except as expressly permitted

In case of conflict, the enterprise agreement controls.

11. Intellectual Property

All rights, title, and interest in the Services, excluding User Content, are owned by MoodMetrics AI or its licensors.

You may not use our name, trademarks, or logos without prior written permission.

12. Paid Services

Certain Services require payment. Fees and billing terms will be disclosed prior to purchase.

Failure to pay may result in suspension or termination.

13. Termination And Suspension

You may stop using the Services at any time.

We may suspend or terminate access if:

  • You breach these Terms
  • Your use poses legal, security, or reputational risk
  • Required by law

Post-termination data handling is governed by the Privacy Policy and applicable agreements.

14. Disclaimer Of Warranties

The services are provided “as is” and “as available”.

we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation Of Liability

To the maximum extent permitted by law:

  • MoodMetrics AI is not liable for indirect, incidental, or consequential damages
  • total liability shall not exceed fees paid in the 12 months preceding the claim

16. Governing Law

These Terms are governed by the laws of England and Wales.
